Purpose and scope
These terms of use (“Terms”) govern access to and use of Green QRCode, an online service operated by SaS. They apply to visitors, account holders, invited team members and any person using the platform or an associated service.
The Terms supplement the information displayed during registration or subscription. Specific terms, quotations, purchase orders or negotiated agreements prevail in the event of a conflict. Publisher information is available in the legal notice.
Acceptance, legal capacity and authority
Creating an account, accepting an invitation or using the service constitutes acceptance of the current Terms. Users represent that they have the required legal capacity. When acting for a company, association, public authority or other organisation, they warrant that they are authorised to bind that organisation.
Minors may use the service only where permitted by law and under the responsibility of their legal representative.
User account and security
Users provide accurate, current and complete information. They protect their credentials, use a strong password, restrict access to authorised persons and promptly report suspicious use to contact@greenqrcode.com.
Actions performed through an authenticated account are deemed to have been carried out by the account holder or an authorised person, unless fraudulent access is promptly reported and established. Team permissions should follow the least-privilege principle.
Description of the service
Green QRCode enables users to create and manage dynamic QR codes, related pages or showcases, redirects, analytics, custom domains, collaboration features, an API, a PWA and white-label options, depending on the active plan and options.
Features, volumes, retention periods and support levels are those displayed on the Pricing page, in the account administration area or in specific terms. The global QR code quota always takes priority over limits applying to individual showcase types.
Plans, subscriptions and payments
A free plan may be offered with limited capabilities. Paid services are billed at the price, frequency, taxes and terms displayed before confirmation. Payments may be processed by third-party providers, including Stripe or PayPal, under their own terms.
A price change does not apply retroactively to a period already paid. Renewal, cancellation and effective-date rules are displayed during subscription and in the customer area. Cancelling a renewal does not, unless required by law or contract, refund the current period.
Where a User acts as a consumer and concludes a paid subscription at a distance, the User benefits from the statutory withdrawal right, generally for fourteen days from conclusion of the contract. It may be exercised by an unambiguous statement sent to contact@greenqrcode.com. Starting the service before that period expires has the consequences provided by law only after the required requests and consents have been obtained.
Content, rights and prohibited uses
Users retain ownership of the text, images, documents, links, data and other content they publish. They warrant that they hold all necessary rights, permissions and lawful bases. They grant SaS a non-exclusive, worldwide licence limited to the duration of the service solely to host, technically reproduce, secure, format and display that content according to their instructions.
The platform must not be used to:
- publish unlawful, misleading, defamatory, discriminatory, violent, fraudulent or rights-infringing content;
- collect or disclose personal data without sufficient notice, permission or legal basis;
- circumvent quotas, access controls, security, billing or technical limits;
- spread malware, conduct phishing, spam, abusive scanning or intrusion attempts;
- impersonate a person, brand, professional capacity or public authority;
- present a medical, safety or emergency showcase as a substitute for qualified professionals or emergency services.
QR codes, printing, domains and third-party services
Users must test each QR code, link, redirect and domain before printing, publishing or deploying it at scale. They remain responsible for the print medium, quality, placement, compliance and accuracy of published information.
QR code reading depends on the device, reader application, network, browser and third-party services. SaS does not guarantee compatibility with every device or continuous availability of an external service, domain name, email provider, map, social network or payment provider.
Platform intellectual property
The platform, software, architecture, interfaces, documentation, trade marks, graphics and proprietary content are protected by intellectual property rights. No rights are transferred to Users other than a limited, personal, non-exclusive and revocable right to use the service in accordance with the Terms.
Substantial extraction, reproduction, reverse engineering, unauthorised resale or competing use is prohibited unless mandatory law provides otherwise or prior written permission is obtained.
Personal data and compliance
Processing carried out by SaS for its own purposes is described in the Privacy policy, which remains separate from these Terms.
Where a User publishes or collects personal data through a showcase, form, API or QR code, that User must determine its role under the GDPR, inform data subjects, respect their rights, minimise data and secure access. A specific data-processing agreement may be concluded where required by law and the nature of the service.
Availability, maintenance and changes
SaS uses reasonable measures to maintain service availability and security. Interruptions may nevertheless result from maintenance, updates, incidents, third-party providers, the Internet or urgent security measures.
The platform may evolve to improve performance, compliance, security or functionality. A material change affecting an ongoing paid service will be communicated within a reasonable period where possible.
Suspension, termination and data
Access may be restricted or suspended in the event of a security risk, unlawful use, non-payment, abusive overuse, fraud, harm to a third party or a serious breach of the Terms. Except in urgent cases or where legally required, Users are informed and given a reasonable opportunity to remedy the issue.
Users may request account closure subject to ongoing subscriptions, invoices, retention duties and technical dependencies. Before termination, Users are responsible for exporting data they wish to retain. Data is then deleted, anonymised or retained for the period required by the plan, the Privacy policy and applicable law.
Warranties and liability
SaS is subject to a reasonable-efforts obligation. The service provides no guarantee of commercial results, scan volumes, search ranking, traffic, public adoption or universal compatibility.
Each party is responsible for direct and foreseeable loss caused by its breach. To the extent permitted by law, SaS is not responsible for the consequences of inaccurate content, defective printing, misconfiguration, third-party services, loss of access attributable to the User or use contrary to the Terms. These limitations do not apply to fraud, gross negligence, personal injury or where prohibited by mandatory law.
All statutory rights and warranties available to consumers remain unaffected.
Force majeure
Neither party is liable for delay or failure caused by an event beyond its reasonable control, which could not reasonably have been foreseen when the contract was concluded and whose effects could not be avoided through appropriate measures. The affected party informs the other party and takes reasonable steps to limit the consequences.
Changes to the Terms
The Terms may be updated to reflect legal, technical, functional or commercial developments. The applicable version is the one available online on the date of use. Account holders will be informed by appropriate means of material changes. Continued use after the effective date constitutes acceptance, without prejudice to statutory or contractual termination rights.
Complaints, mediation, applicable law and jurisdiction
Before court proceedings, the parties seek an amicable solution. Complaints may be sent to contact@greenqrcode.com together with information identifying the account and dispute.
Where the User acts as a consumer, the User may, after a prior written complaint remains unresolved, use the competent consumer mediator free of charge. The mediator’s details are published in the legal notice. Mediation is optional and does not prevent the User from bringing court proceedings.
The Terms are governed by French law, subject to any more protective mandatory provisions applicable to consumers in their country of residence within the European Union.
BUSINESS USERS WHERE ALL PARTIES CONTRACTED AS MERCHANTS: to the extent permitted by law, any dispute concerning the formation, interpretation, performance or termination of the contractual relationship falls within the exclusive jurisdiction of the courts having subject-matter jurisdiction in Paris, including in multi-defendant or third-party proceedings.
This jurisdiction clause does not apply to consumers, non-merchants or where mandatory law designates another court. Consumers retain the right to bring proceedings before the courts available under the rules of their domicile and applicable French or European law. Public bodies and local authorities remain subject to the jurisdiction rules of public law and their specific agreements.
